These Terms and Conditions ("Terms") govern your access to and use of the website, products, and services provided by Pashupatastram Private Limited("Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office in Dodleru, Andhra Pradesh, India.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and services immediately.

1. Services

Pashupatastram Private Limited provides the following categories of services:

• Custom software development, web and mobile applications, ERP and CRM solutions, cloud migration, and API integrations.
• Accounting, bookkeeping, GST filing, TDS returns, payroll processing, financial reporting, and statutory compliance.
• Business process automation, financial dashboards, and MIS reporting.

The scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties. In the event of a conflict between these Terms and a signed agreement, the signed agreement shall prevail.

2. Use of Website

You agree to use this website only for lawful purposes. You must not:

• Use the website in any way that violates applicable Indian or international laws or regulations.
• Transmit any unsolicited or unauthorised advertising or promotional material.
• Attempt to gain unauthorised access to any part of our website, servers, or databases.
• Interfere with the proper working of the website through malicious code, bots, or automated tools.
• Impersonate Pashupatastram Private Limited or any of its employees, partners, or clients.

3. Intellectual Property

All content on this website — including text, graphics, logos, icons, images, and software — is the property of Pashupatastram Private Limited or its content suppliers and is protected under applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from this website without our prior written consent.

For client projects, intellectual property ownership is governed by the terms of the individual service agreement. Unless otherwise agreed in writing, all custom-developed software is assigned to the client upon full payment.

4. Confidentiality

Both parties acknowledge that in the course of service delivery, confidential information — including but not limited to financial records, business data, source code, and client lists — may be shared. Both parties agree to:

• Keep all confidential information strictly private and not disclose it to any third party without prior written consent.
• Use confidential information solely for the purpose of delivering or receiving the agreed services.
• Return or destroy confidential materials upon termination of the engagement.

This obligation survives termination of any service agreement for a period of three (3) years.

5. Payment Terms

Payment terms are specified in the applicable service agreement or invoice. Unless otherwise agreed:

• Invoices are due within 15 days of the invoice date.
• A late payment interest of 1.5% per month may be applied on overdue amounts.
• All fees are exclusive of applicable taxes including GST, which will be charged as per prevailing rates.
• Project work may be paused if payments are overdue by more than 30 days.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Pashupatastram Private Limited shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from use of our services or website.
• Loss of data, profits, revenue, or business opportunities.
• Errors in accounting or compliance work resulting from incorrect or incomplete information provided by the client.
• Third-party services, APIs, or integrations incorporated into client projects.

Our total liability for any claim shall not exceed the fees paid by the client for the specific service giving rise to the claim in the three months preceding the claim.

7. Disclaimer of Warranties

Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that services will be uninterrupted, error-free, or completely secure.

Information provided through our accounting and compliance services is based on the laws and regulations in force at the time of delivery. We are not liable for changes in law that affect advice previously given.

8. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable service agreement. In the absence of a specific agreement:

• Either party may terminate with 30 days written notice.
• Fees for work completed up to the termination date remain payable.
• We reserve the right to terminate immediately and without notice in cases of non-payment or breach of these Terms.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Sattenapalli, Andhra Pradesh.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

10. Changes to These Terms

We reserve the right to update these Terms at any time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
